EULA - End User License Agreement

LICENSE AGREEMENT

IMPORTANT! READ THIS CAREFULLY!

This document is the agreement between you (individual or entity), hereinafter referred to as USER and the Scientific-and-Production Company 'KRUG'. hereinafter referred to as COMPANY.

ATTENTION! BY OPENING THE ENVELOPE WITH THE ELECTRONIC MEDIA CONTAINING THE SOFTWARE AND/OR BY USING THE SOFTWARE, AS DESCRIBED BELOW, YOU INDICATE THAT YOU ACCEPT THE TERMS OF THIS AGREEMENT. IF YOU DONТT ACCEPT THEM, PLEASE RETURN THE UNOPENED ENVELOPE ALONG WITH THE CONTENTS OF THE BOX TO THE SUPPLIER WITHIN 10 DAYS FROM THE DATE OF RECEIPT, AND THE VALUE OF THE SOFTWARE WILL BE FULLY REFUNDED.

This agreement is the proof of your license to use the software. Please consider it to be a valuable document.

This document is the license agreement concerning usage, not the sale agreement. The COMPANY remains the owner of the copyright for the Software. This installation package contains the Software (programs and multimedia library containing graphical images, photos, animations, audio and video files, texts etc.) and the related documentation in either printer or electronic form. Under the term УSoftwareФ we also mean any updates and hotfixes received by the USER. The copyright for the Software and the Documentation are owned by the SPC 'KRUG'. The Software is protected by the laws of Russia and international agreements on copyright and related rights.
The license for the Software contains the following items:
1. This license agreement.
2. Registration card containing the names and registration codes of all software components and systems. The ID of the registration card must match that of the license agreement.

The COMPANY grants the USER a nonexclusive license to use the Software and Documentation subject to the consent of the USER to the following conditions:
1. The use of the Software

The USER is the owner of any media to which the Software was written, copied or transferred by any other means.

The USER has the right:

- To install the Software to the computer hard disk or any other storage device.

- To use the Software in accordance with its functional purpose specified in the Documentation.

- To own any results obtained with the Software.

- To create copies of the Software and Documentation for the sole purpose of archiving or backing up.

- To transfer the Software purchased by the USER (but not a copy of it) to third parties on the following conditions:

* The Software is transferred to a third party in full with all accompanying materials;
* The Receiver agrees with all conditions of the present Agreement;
* The User completely abandons the use of the Software and destroys all its copies;
* The User notifies the FIRM of the transfer of the Software to a third party.

Any transfer violating these requirements and restrictions will be invalid and entail the termination of this Agreement.

To become an officially registered user you must fill the detachable sheet of the registration card and send it to the COMPANY. Registered users have the right to receive technical support, as described in the registration card.

2. Restrictions on the use

The USER cannot

- Copy, lease, distribute, resell, license, or perform other types of transmission of the Software, Documentation and licenses, except as to the conditions specified above.

- Modify and/or embed the Software or any part thereof to other programs, as well as reverse engineer, decompile, disassemble, examine the program code in other ways without a permission from the COMPANY except as expressly permitted by applicable law.

3. Limited warranty and technical support.

The company guarantees that the Software will operate in general in accordance with the Documentation. Claims on the operation of programs under this paragraph shall be adopted within 12 months from the date of delivery.

The COMPANY offers to registered USERS free technical support for the Software during 12 months of operation from the date of delivery.

4. License validity.

This license is valid throughout the whole period of the use of the Software. However, this Agreement will be automatically terminated by the COMPANY in case of failure by the USER of any term of this Agreement. In this case the USER is obliged to destroy all copies of the Software in his possession.

5. Limitations.

COMPANY does not guarantee and cannot guarantee the performance or results obtained when using the Software or Documentation. The sole and exclusive warranty is given above. Apart from the above mentioned limited warranty, the COMPANY shall under no circumstances be liable for any damage (including all, without exception, cases of loss of profits, business interruption, loss of business information or other pecuniary loss), related to the use or the impossibility to use the COMPANYs Software, even if the COMPANY has been forewarned of the possibility of such losses. All rights under the law, which may be available for the USER, and may be directed against the COMPANY or reseller from whom the USER has acquired a licensed product, remain in force.

In some situations the USER is entitled to claim compensation or the payment of money from the COMPANY. Except as otherwise expressly provided in this paragraph, regardless of the legal basis of USER requirements, the amount of compensation cannot exceed the amount paid by the USER for the Software, in connection with which the claim arose.
